SEBI’s latest changes are a course correction, but will they have the desired effects?

Assume that you have a stock which is closing at ₹1000. The market has been pretty steady all day, but over the past few minutes there are a ton of buying orders and the price of the market increases substantially. This could be a normal market movement to an average investor. For a trader with an expiring options trade, the move at the end of the day could be a make-or-break element in the settlement.

For this reason, it is important that the markets determine their prices at the end of the trading day. In August 2026, the Securities and Exchange Board of India (SEBI) declared that the system of the Closing Auction Session (CAS) will be introduced to facilitate the price discovery process at the end of a trading day. It was quite a simple concept: to gather the buy and sell orders in one window and to calculate a more representative closing price.

But the financial markets don’t typically operate in isolation. Those who trade futures, options, and other products in the cash market also benefit from a mechanism designed to improve cash market prices. On October 15, 2026, SEBI came up with a revised framework after receiving concerns from the market. The key change? The closing auction is still in place, but settlement procedures for expiring derivatives are being tweaked.

When a market reform has an unintended consequence, how does the regulator balance the ability to learn better prices and orderly trading?

The concept of CAS and the source of the problems

In the past, the final trades carried out during the regular trading session may have affected the closing price of a stock. A relatively small transaction on a less liquid security could cause a significant impact on the last price.

One way to overcome this limitation is a closing auction, which gathers all the orders that are eligible and matches them up through a systematic process. The market uses the auction to provide the official closing price (OCP) and to look at the closing transaction itself.

It’s important for institutional investors. The closing price will impact the investments’ performance, comparisons, and valuations to benchmarks.

The problem is that this is due to the fact that the closing-auction price is included (or matures) in the derivation of the outstanding derivatives within the structure to be resolved.

A cash market pricing mechanism was now directly connected with positions in derivatives whose value is often very sensitive to changes in the underlying asset.

If the bidding price was quite different from prices during the continuous trading period, the settlement impacts might be big.

Questions were not raised about the auctions per se. Of course, if derivatives came with an auction closing price, then it might just present one more level of uncertainty for this precarious asset class.

What has SEBI changed?

Now, SEBI, in its decision dated 15 October, has sought to clearly distinguish between the two functions.

The new structure will preserve the setting of official closing prices for eligible securities (trade execution) in the closing auction. The settlement price for expiring derivatives, though, will be based on the volume-weighted average price (VWAP) of the last 30 minutes of continuous cash-market trading, not the closing price of the auction.

The new framework is to come into force 7th December 2026.

This is a notable distinction. VWAP considers the amount of trading done at different price levels over a period of time, and then calculates the average price. In that way, it’s not a single closing auction, it’s a series of auctions.

Suppose a stock moves around ₹1000 in the last 30 minutes of trading hours to get a VWAP of ₹1002. Suppose that a stock moves around at ₹1000 over its last 30 minutes of trading hours to get a VWAP of ₹1002. If, on the closing auction, the official closing price is then revised to ₹1,025, then the two reference prices would be very different.

The VWAP price from the final 30 minutes of last-minute settlement would be used for the derivatives, instead of the auction price.

This isn’t a sure cure for volatility. Nor does it guarantee that they will be the same two prices at all times. It diminishes the direct link between the outcome of the closing auction and expiry settlement.

The bigger picture

Again, SEBI’s recent changes to the CAS have highlighted that efficiency does not have to contribute to any other risks in the financial system.

The regulator has opted to retain the closing auction, but has slightly tweaked the methodology of calculating the reference price for derivatives expiry settlement. The new system aims to enhance the overall closing process without giving the auction price the final say in how expiring derivatives would be settled.

The success or failure of it will depend on the actual behavior of the market, of course, after it is adopted.

Presently, the phrase is that the closing auction will be lasting; however, how its outcome will engage with the settlement of the derivatives is changing. The next phase and market data will determine if the correction is working, which is what December 7 will be.

New questions over market volatility, derivatives settlement, and trading liquidity have arisen as a result […]

[1

post-345","post","type-post","status-publish","format-standard","hentry","category-uncategorized
